Terms of Use

1. Acceptance of Terms

By creating an account, accessing, or using Mealchat ("the Service"), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, you may not use the Service.

Mealchat is operated by Purpose Labs LLC, a company incorporated in the State of Wyoming, United States. These Terms constitute a legally binding agreement between you and Purpose Labs LLC ("Mealchat", "we", "us", or "our"). Please read them carefully.

2. Eligibility

To use Mealchat, you must:

  • Be at least 16 years of age
  • Have the legal capacity to enter into a binding agreement in your jurisdiction

Mealchat processes health-related data including calorie intake, body metrics, and nutritional information. Due to the sensitive nature of this data and the potential impact of calorie tracking on younger users, we enforce a minimum age of 16 globally, in line with GDPR Article 9 requirements for health data processing.

We verify your age during account setup based on the date of birth you provide. If we learn that a user does not meet the minimum age requirement, we will terminate their account and delete their data.

3. Description of Service

Mealchat is an AI-powered nutrition tracking application that allows users to log meals via text, photo, or voice and receive estimated calorie and macronutrient breakdowns. The Service includes:

  • AI-powered meal analysis and calorie estimation
  • Macronutrient and micronutrient tracking
  • Body metric tracking (weight, goals, progress)
  • Personalized daily calorie and macro targets
  • Meal photo storage and food recognition
  • Push notifications for meal reminders and streak updates

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate and complete information when creating your account
  • Keep your login credentials secure and not share them with others
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account, whether or not you authorized them

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Health Data and Consent

Mealchat collects and processes health-related data, including your weight, height, date of birth, biological sex, body composition, meals, food photos, and nutritional information. Under the EU General Data Protection Regulation (GDPR), this data is classified as "special category" data.

During account creation, you will be asked to provide explicit consent for the processing of your health data via a separate consent checkbox. This consent is:

  • Required to use the core features of Mealchat
  • Separate from your acceptance of these Terms of Use
  • Withdrawable at any time by deleting your account

6. Health and Medical Disclaimer

Mealchat is not a medical device and does not provide medical advice, diagnosis, or treatment.

The calorie and nutritional estimates provided by Mealchat are approximations generated by artificial intelligence and may not be accurate. They should not be used as the sole basis for dietary decisions, especially if you have medical conditions such as diabetes, eating disorders, food allergies, or other health concerns.

Always consult with a qualified healthcare provider, registered dietitian, or nutritionist before making significant changes to your diet or exercise routine. If you are experiencing a medical emergency, contact emergency services immediately.

By using Mealchat, you acknowledge that:

  • Nutritional estimates are AI-generated approximations, not precise measurements
  • The Service is intended as a general wellness tool, not a clinical nutrition tool
  • You should not rely solely on Mealchat for managing any medical condition
  • We are not responsible for any health outcomes resulting from your use of the Service

7. AI-Generated Content

Mealchat uses artificial intelligence to analyze meals and estimate nutritional content. You understand and agree that:

  • AI-generated nutritional estimates may contain errors or inaccuracies
  • Food identification from photos may misidentify items or portion sizes
  • Calorie and macro estimates can vary significantly from actual values, especially for complex, homemade, or restaurant dishes
  • You can and should review and manually adjust AI-generated estimates when you notice inaccuracies

We continuously work to improve the accuracy of our AI, but cannot guarantee the correctness of any individual estimate.

8. User Content

You retain ownership of all content you submit to Mealchat, including meal descriptions, food photos, and voice recordings ("User Content").

By submitting User Content, you grant Mealchat a limited, non-exclusive, non-transferable license to process, store, and analyze your content solely for the purpose of providing the Service to you. This includes:

  • Sending meal descriptions and photos to AI providers for nutritional analysis
  • Sending voice recordings to transcription providers for text conversion
  • Storing food photos on our cloud infrastructure for display in your meal log

We do not use your User Content for training AI models, advertising, or any purpose other than providing the Service to you. When you delete your account, all User Content is permanently deleted.

9. Subscriptions and Payments

Mealchat offers both free and premium subscription tiers. If you purchase a premium subscription:

  • Payment is processed by Apple (App Store) or Google (Play Store) — we do not handle payment information directly
  • Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date
  • You can manage or cancel your subscription through your device's App Store or Play Store settings
  • Refunds are handled according to Apple's or Google's respective refund policies
  • We reserve the right to change subscription pricing. Existing subscribers will be notified in advance and the new price will apply at the next renewal

The free tier provides limited daily meal logging. Premium unlocks unlimited logging and additional features as described in the app.

10. Acceptable Use

You agree not to use Mealchat to:

  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service for any illegal purpose
  • Reverse engineer, decompile, or otherwise attempt to extract the source code
  • Use automated tools (bots, scrapers) to access the Service
  • Submit false, misleading, or harmful content
  • Impersonate another person or entity

We reserve the right to suspend or terminate your account if you violate these usage rules.

11. Intellectual Property and License

The Service and the Mealchat application are licensed, not sold, to you. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service and application on devices that you own or control and as permitted by the usage rules of the platform from which you obtained the application (e.g., the Apple App Store or Google Play Store).

All content, features, and functionality of Mealchat — including the app design, logos, AI models, algorithms, and underlying technology — are owned by Mealchat and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our prior written consent.

12. App Store Terms

If you download Mealchat from the Apple App Store or Google Play Store, the following additional terms apply:

  • These Terms are between you and Purpose Labs LLC only, not with Apple Inc. ("Apple") or Google LLC ("Google"). Neither Apple nor Google is responsible for the Service or its content.
  • Neither Apple nor Google has any obligation to provide maintenance or support services for Mealchat. Purpose Labs LLC is solely responsible for any product warranties, whether express or implied by law.
  • In the event of any failure of the app to conform to any applicable warranty, you may notify the applicable platform provider (Apple or Google), and they may refund the purchase price (if any) for the app in accordance with their respective policies. To the maximum extent permitted by law, neither Apple nor Google has any other warranty obligation with respect to the app.
  • Neither Apple nor Google is responsible for addressing any claims by you or any third party relating to the app or your possession and use of the app, including product liability claims, any claim that the app fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
  • In the event of any third-party claim that the app or your possession and use of the app infringes that third party's intellectual property rights, Purpose Labs LLC, not Apple or Google, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you as a third-party beneficiary.

13. External Services

The Service may enable access to third-party services, including AI providers, transcription services, cloud storage, and payment processors (collectively, "External Services"). You agree to use External Services at your sole risk.

We are not responsible for examining or evaluating the content or accuracy of any External Services, and shall not be liable for any third-party External Services. Data displayed or processed by any External Service is for informational purposes only and is not guaranteed by us. External Services may not be available in all regions or languages. We reserve the right to change, suspend, or remove access to any External Services at any time without notice or liability to you.

14. Export Compliance

You may not use or otherwise export or re-export the Service or application except as authorized by United States law and the laws of the jurisdiction in which the Service was obtained. In particular, but without limitation, the Service may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List.

By using the Service, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use the Service for any purposes prohibited by United States law.

15. Account Deletion

You can delete your account at any time via Settings > Account > Delete Account within the app. Upon deletion:

  • All your personal data, health data, and meal history will be permanently deleted
  • All food photos will be removed from our storage
  • We will instruct all third-party processors to delete your data within 30 days
  • Active subscriptions will not be automatically cancelled — you must cancel your subscription separately through the App Store or Play Store before deleting your account

Account deletion is irreversible. We cannot recover deleted data.

16. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • Nutritional estimates will be accurate or complete
  • Defects in the Service will be corrected
  • The Service will meet your specific requirements

17. Limitation of Liability

To the fullest extent permitted by applicable law, Mealchat shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from:

  • Your use of or inability to use the Service
  • Any inaccuracy in calorie estimates, nutritional information, or AI-generated content
  • Unauthorized access to or alteration of your data
  • Any health outcomes or dietary decisions made based on information provided by the Service
  • Any third-party conduct or content

In no event shall our total liability exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or fifty US dollars (USD 50), whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by applicable law.

18. Indemnification

You agree to indemnify and hold harmless Mealchat, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third party's rights
  • Any User Content you submit to the Service

19. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, United States.

For users in the European Union: Nothing in these Terms affects your rights as a consumer under the mandatory consumer protection laws of your country of residence. You may bring proceedings in the courts of your country of residence.

The European Commission provides an Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr. We are not obliged and generally not willing to participate in dispute resolution proceedings before a consumer arbitration board.

20. Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights.

You and Purpose Labs LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except that either party may bring claims in small claims court if they qualify.

Class action waiver: You and Purpose Labs LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive your right to participate in a class action lawsuit or class-wide arbitration.

Opt-out right: You may opt out of this arbitration and class action waiver by sending written notice to legal@mealchat.ai within 30 days of creating your account. If you opt out, disputes will be resolved in court as described in Section 19.

EU users: This section does not apply to users residing in the European Union, United Kingdom, or Switzerland. If you reside in these jurisdictions, your statutory rights to access courts and participate in collective proceedings remain unaffected.

21. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet or telecommunications failures, power outages, third-party service provider outages, cyberattacks, or other force majeure events.

22. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Notify you via in-app notification or email for changes that materially affect your rights
  • Provide at least 30 days' notice before significant changes take effect

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.

23. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

24. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Purpose Labs LLC regarding your use of the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
